Feasibility study carried out by DCDM for a port in Madagascar
A business plan was undertaken to evaluate the viability of the project and assess the competitive positioning of the malagasy port. The report also weighed the operational assessment of the port's operations in submitting various proposals for possible financing of its container handling equipment. The feasibility study was then submitted to international banking institutions.
Acquisition of shares in an oil distribution company, Madagascar
Our legal experts advised our client on the acquisition of shares from the Government of Madagascar in an oil distribution company and an oil refinery company as part of the privatisation process. We negotiated and completed two memoranda of understanding. A legal due diligence was carried out in due respect of this distribution company and the refinery's company assets and liabilities. We also negotiated the shareholders agreement and banking and security documentation. Our offshore legal specialists also advised our client on the offshore company structuring.
Risk Process Consulting Services
DCDM was requested by management of one of the largest conglomerates in Madagascar to perform a complete organisational and strategic review of its group.

We formed a multidisciplinary team comprising of consultants from:
-Risk and Process Consulting division;
-Marketing and Economic Services division; and
-Human Resources Consulting division;

We all applied the “Business Process Risk Consulting” methodology and the consulting work carried out revealed that:
-Major changes will be needed in their current strategic path;
-The corporate structure was not supporting the future strategic positioning; and
-The information system was not appropriate and will need a complete revamp.

We also performed detailed process review of all business risks in the conglomerate in order to highlight risk areas and suggest key control points.

After the review we drew out a blue print for implementation of the major recommendations we set, and are currently assisting in the implementation phase.

Management was fully involved in the consulting process and referred the assignment as “exactly the type of advice we were looking for”.
Integrated Audit Services
Following the acquisition of one of the largest bank in Madagascar by a leading bank in France, we were appointed auditors of the Bank. Working closely with management, we:
· identified a number of risks (environmental, process and information for decision making risks) facing the organisation;
· prioritised the risks after analysing the significance and the likelihood of the risks materialising;
· recommended a course of action for management to take.

Management commended us for the approach we used in the audit process and for being sensitive to the environment in which the bank operates.
Transaction Advisory Services
We carried out this due diligence exercise for the account of a consortium of investors based in the United Kingdom in the context of the privatisation of a state owned petroleum company.

Our multi disciplinary team comprising of engineers financiers, accountants, and legal advisers revealed a number of issues in respect of:
-the legal and regulatory aspects governing the sector;
-legal title to certain strategic land and properties of the company;
-additional provisions which had to be made in respect of stocks and debtors;
-Performance of the refinery below what was communicated in the Information Memorandum.

The results of our work were used in subsequent negotiations with the government and the bid price was finally reduced substantially (can we say by 50%?).
Due diligence review at a malagasy petroleum company
DCDM was appointed to lead a consortium led by an international leading petroleum company and the largest indian ocean based provider of technical, managerial, and industrial assistance in the petroleum sector. Our experts were responsible for the following :

A full financial, legal and technical due diligence review
A comprehensive review of business risks facing the company
Preparation of a business and strategic plan
Valuation of the company
Preparation of an offer document
Advisory assistance on structuring the acquisition and shareholding structure
Preparation and advice on privatisation and negotiating strategy
Provision of advice and support in the negotiation process.

There was a full fledged diligence review performed at this malagasy petroleum company and the company was then privatised and sold to an international leading petroleum company. DCDM was involved on the legal front with the hiring of lawyers and corporate finance experts to close the transaction.
Due diligence in view of future privatisation of a national malagasy telecommunications company
DCDM was appointed by the Secretariat Technique du Comite de Privatisation of Madagascar to carry out a full diligence review of the telecommunications company. They carried out a financial audit of the company, a review of the accounting policies, and a financial performance review, as well as a review of the forecast financial information prepared by the management of the company.
We also undertook a comprehensive review of the business risks facing the company which would potentially affect the success of the privatisation process.
Sage Tetra
DCDM performed the implementation and deployment of Sage CS/3 Financials, Sales and Distribution on Windows NT SQL server 7 environment for a major petroleum Company in Madagascar. Locally DCDM is in the process of implementing CS/3 for a parastatal company involved in the management and treatment of waste water.
Economic Consulting - Sector Review
We performed a sector review for a specific consumer product in Madagascar on behalf of a multinational wishing to expand its operations in the region. This review was meant to be the pre-research required before the company could decide upon committing large resources to developing a countrywide marketing programme. The objective of the sector review was to establish whether there existed a market potential in terms of market size, purchasing power and the current market penetration rate. The analyses were conducted using secondary data and as such were a cost effective way for the client to obtain the necessary market insight prior to embarking on more thorough research.
